We are looking for a Legal Counsel to join our legal team!
This is an exciting opportunity for a highly capable attorney with 6 years of practical experience gained at a top-tier law firm or a leading technology company to take a central role in shaping Navina’s commercial operations in the U.S. market. In this role, you will independently lead complex commercial transactions with U.S.-based customers in the HealthTech ecosystem, partnering closely with GTM teams, including Sales and Business Development, to drive business growth and enable smooth deal execution.
You will work cross-functionally with colleagues across the organization and report directly to Navina’s General Counsel, who is based in Israel.
We’re seeking someone who is practical, business-oriented, and solutions-driven - an attorney who knows how to get things done, can translate legal considerations into actionable guidance, and thrives in dynamic, fast-paced environments. Curiosity, a strong sense of ownership, and a commitment to continuous learning are essential.
A strong background working within highly regulated industries - preferably U.S. healthcare - is important for success in this role. You should bring hands-on experience negotiating Business Associate Agreements (BAAs), familiarity with healthcare regulatory frameworks, and the ability to advise internal teams with clarity and confidence.
Responsibilities
- Draft, review, and independently negotiate SaaS commercial agreements with U.S.-based customers, vendors and partners, including SaaS agreements.
- Lead negotiations of Business Associate Agreements (BAAs) and Data Processing Agreements (DPAs), and advise on HIPAA, privacy, and data protection obligations.
- Provide practical, business-oriented legal advice to GTM teams (Sales, Account Management, and Business Development) to support deal execution and commercial strategy.
- Collaborate with Product and R&D teams to embed regulatory and contractual requirements into product features, data flows, and operational processes.
- Stay up to date on U.S. healthcare regulatory frameworks, privacy developments, AI-related legal trends, and commercial law, and proactively advise on implications for the business.
- Support and improve internal legal operations, including templates, playbooks, processes, and scalable workflows.
Requirements
- Licensed attorney in U.S., with an LL.B/J.D. or equivalent law degree from a leading law school.
- Approximately 6 years of post-qualification experience, preferably gained from a top-tier law firm, or at a high-growth tech company.
- Proven ability to lead commercial transactions with U.S.-based customers, ideally in regulated environments.
- Hands-on experience drafting and negotiating SaaS agreements and commercial contracts for U.S. counterparties.
- Significant, demonstrated experience negotiating BAAs and advising on HIPAA compliance.
- Strong working knowledge of privacy and data protection frameworks (HIPAA, GDPR).
- Background in highly regulated industries - experience in U.S. healthcare or digital health is a strong advantage.
- Excellent drafting and communication skills, with the ability to convey complex issues clearly and succinctly.
- A practical, solutions-focused mindset, with strong business judgment and the ability to drive deals forward.
- Curious, proactive, and eager to learn, with a “make it work” attitude.
- Ability to collaborate cross-functionally and thrive in a dynamic, fast-paced startup environment.
- Experience supporting Sales, Business Development, or GTM teams.
- Ability to maintain regular work-hour overlap with Israel-based teams to ensure effective collaboration.
